Terms and Conditions (AGB)

for the sale of software products by raise, Thomas Herrmann (hereinafter referred to as "Provider" or "we").

1. Scope and Applicability

These Terms and Conditions (AGB) govern the contractual relationship between raise, Thomas Herrmann, Rutha 38, 07751 Sulza, Germany (hereinafter "Provider") and the customer (hereinafter "Customer" or "you") regarding the purchase and licensing of software products offered on our website.

These terms apply to all purchases made through our authorized Merchant of Record, FastSpring, as well as any direct sales channels. Deviating terms of the Customer are not recognized unless we have expressly agreed to them in writing.

These Terms and Conditions are available in both German and English. In case of discrepancies between the two language versions, the German version shall prevail for customers residing in Germany or other EU member states.

2. Contract Conclusion

The presentation of software products on our website does not constitute a binding offer but an invitation to submit an offer (invitatio ad offerendum).

By clicking the "Buy Now" button and completing the checkout process via FastSpring, you submit a binding offer to purchase the selected software product.

The contract is concluded upon:

Receipt of the order confirmation email from FastSpring, or
Delivery of the software license key and download access, whichever occurs first.

The contract text is not stored by us beyond the order confirmation sent via email. We recommend saving the order confirmation for your records.

3. Merchant of Record — FastSpring

All purchases of Underbridge Pro 2 and related products are processed through FastSpring (Bright Market, LLC, 801 Garden Street, Santa Barbara, CA 93101, United States), which acts as our Merchant of Record.

As Merchant of Record, FastSpring:

Processes all payments and handles billing
Calculates and remits applicable sales tax/VAT based on your location
Issues invoices and receipts on our behalf
Handles refunds and chargebacks in accordance with these terms
Complies with PCI-DSS requirements for payment card security

FastSpring's own Terms of Service and Privacy Policy apply to the transaction processing. These Terms and Conditions govern the software license and product-specific obligations between you and the Provider.

4. Products and Pricing

We offer the following software products:

Underbridge Pro 2 — Commercial license, $50.00 USD (one-time purchase)
Underbridge Light — Free, open-source under GPL v3

All prices are listed in USD. The final price displayed at checkout includes all applicable taxes (VAT, sales tax) as determined by FastSpring based on your billing address and local regulations.

Prices are subject to change without notice. The price applicable to your purchase is the one displayed at the time of order completion.

Underbridge Pro 2 licenses include free updates within the same major version series (e.g., 2.x). Upgrades to future major versions (e.g., 3.x) may require a separate purchase at a discounted upgrade price.

5. Payment and Delivery

Payment is processed exclusively through FastSpring using the payment methods available at checkout (credit card, PayPal, and other regional options).

Upon successful payment, you will receive:

An order confirmation email from FastSpring
A license key (for Underbridge Pro 2)
Access to download the software

Delivery is performed digitally via download from our website or designated distribution platforms. No physical goods are shipped.

If you do not receive your license key or download access within 24 hours of purchase, please contact us at info@raise-uav.com with your order confirmation.

6. Software License

The use of our software is governed by the End User License Agreement (EULA), which forms an integral part of this contract.

By purchasing Underbridge Pro 2, you receive a non-exclusive, non-transferable license to use the software in accordance with the EULA.

Underbridge Light is distributed under the GNU General Public License v3 (GPL v3). The terms of the GPL v3 apply exclusively to this product and can be found at gnu.org/licenses/gpl-3.0.html.

7. Right of Withdrawal (Widerrufsrecht)

7.1 Withdrawal Right for EU Consumers

If you are a consumer residing in the European Union, you have the right to withdraw from this contract within 14 days without giving any reason, in accordance with EU Directive 2011/83/EU and § 355 of the German Civil Code (BGB).

The withdrawal period begins on the day the contract is concluded. To exercise your right of withdrawal, you must notify us at:

using a clear statement of your decision to withdraw (e.g., a letter sent by post or email). You may use the sample withdrawal form provided in Section 7.4, but it is not mandatory.

7.2 Early Consent to Digital Delivery

By purchasing and immediately downloading our software, you expressly consent to the performance of the contract before the withdrawal period expires. You acknowledge that this consent results in the loss of your right of withdrawal once the download has started, in accordance with Art. 49(1)(l) of EU Directive 2011/83/EU and § 356(1) BGB.

Notwithstanding the above, we offer a voluntary 30-day money-back guarantee as described in Section 8.

7.3 Consequences of Withdrawal

If you validly withdraw from this contract, we will refund all payments received from you, including delivery costs (except for supplementary costs resulting from your choice of a delivery method other than the least expensive standard delivery offered by us), without undue delay and no later than 14 days from the date on which we receive notification of your withdrawal.

Refunds will be processed via FastSpring using the original payment method.

8. Voluntary 30-Day Money-Back Guarantee

In addition to your statutory rights, we offer a voluntary 30-day money-back guarantee for Underbridge Pro 2.

If you are not satisfied with the software for any reason, you may request a full refund within 30 days of the original purchase date. No justification is required.

To request a refund, contact us at info@raise-uav.com with your order confirmation or license key. Refunds will be processed through FastSpring within 14 business days.

This guarantee does not affect your statutory right of withdrawal and exists independently alongside it.

9. Warranty and Liability

The software is provided "as is" without warranty of any kind, as further detailed in the EULA.

For consumers, statutory warranty rights under applicable law (particularly §§ 434 ff. BGB in Germany) remain unaffected. The statutory limitation period for warranty claims is two years from delivery.

For entrepreneurs (Unternehmer), warranty claims are excluded. This exclusion does not apply in cases of intent (Vorsatz), gross negligence (grobe Fahrlässigkeit), or injury to life, body, or health.

Our liability is limited as described in the EULA. Liability for ordinary negligence is excluded to the extent permitted by applicable law, except for breaches of essential contractual obligations (Kardinalpflichten), in which case liability is limited to the foreseeable, typical damage.

10. Intellectual Property

All intellectual property rights in and to the software, including source code, design, trademarks, and documentation, remain the exclusive property of the Provider or its licensors.

This contract grants you a license to use the software; it does not transfer ownership of any intellectual property rights.

11. Dispute Resolution

The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/odr. We are willing to participate in an alternative dispute resolution procedure before a consumer arbitration board.

12. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

For merchants, legal entities under public law, or special funds under public law, the exclusive place of jurisdiction is the registered office of the Provider. For consumers, the general statutory jurisdiction applies.

For international customers, mandatory consumer protection provisions of the country of habitual residence remain unaffected.

13. Severability

If any provision of these Terms and Conditions is or becomes invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid one that comes closest to the economic purpose of the invalid provision.

14. Changes to These Terms

We reserve the right to update these Terms and Conditions from time to time. The version applicable to your purchase is the one in effect at the time of contract conclusion. Updated versions will be published on this website with a new "Last updated" date.

Allgemeine Geschäftsbedingungen (AGB)

für den Vertrieb von Softwareprodukten der Firma raise, Thomas Herrmann (nachfolgend „Anbieter" genannt).

1. Geltungsbereich

Diese Allgemeinen Geschäftsbedingungen (AGB) gelten für die vertragliche Beziehung zwischen raise, Thomas Herrmann, Rutha 38, 07751 Sulza, Deutschland (nachfolgend „Anbieter") und dem Kunden (nachfolgend „Kunde" oder „Sie") über den Erwerb und die Nutzung von Softwareprodukten, die über unsere Website angeboten werden.

Diese Bedingungen gelten für alle Käufe, die über unseren autorisierten Merchant of Record FastSpring sowie über sonstige Vertriebskanäle getätigt werden. Abweichende Bedingungen des Kunden werden nicht anerkannt, es sei denn, wir haben ihrer Geltung ausdrücklich schriftlich zugestimmt.

2. Vertragsschluss

Die Darstellung der Softwareprodukte auf unserer Website stellt kein bindendes Angebot, sondern eine Aufforderung zur Angebotsabgabe (invitatio ad offerendum) dar.

Durch Klicken des „Buy Now"-Buttons und Abschluss des Bestellvorgangs über FastSpring geben Sie ein verbindliches Kaufangebot ab.

Der Vertrag kommt zustande mit:

Eingang der Auftragsbestätigung per E-Mail von FastSpring oder
Übermittlung des Software-Lizenzschlüssels und Download-Zugangs, je nachdem, was zuerst eintritt.

Der Vertragstext wird von uns über die per E-Mail versendete Auftragsbestätigung hinaus nicht gespeichert. Wir empfehlen, die Auftragsbestätigung für Ihre Unterlagen zu speichern.

3. Merchant of Record — FastSpring

Alle Käufe von Underbridge Pro 2 und verwandten Produkten werden über FastSpring (Bright Market, LLC, 801 Garden Street, Santa Barbara, CA 93101, USA) abgewickelt, das als unser Merchant of Record auftritt.

Als Merchant of Record übernimmt FastSpring:

Die gesamte Zahlungsabwicklung und Rechnungsstellung
Die Berechnung und Abführung der geltenden Umsatzsteuer/MwSt. basierend auf Ihrem Standort
Die Erstellung von Rechnungen und Quittungen in unserem Namen
Die Abwicklung von Rückerstattungen und Chargebacks gemäß diesen Bedingungen
Die Einhaltung der PCI-DSS-Anforderungen für die Zahlungssicherheit

Die Nutzungsbedingungen und Datenschutzrichtlinie von FastSpring gelten für die Transaktionsabwicklung. Diese AGB regeln die Softwarelizenz und produktspezifischen Pflichten zwischen Ihnen und dem Anbieter.

4. Produkte und Preise

Wir bieten folgende Softwareprodukte an:

Underbridge Pro 2 — Kommerzielle Lizenz, 50,00 USD (Einmalkauf)
Underbridge Light — Kostenlos, Open Source unter GPL v3

Alle Preise sind in USD angegeben. Der im Checkout angezeigte Endpreis enthält alle geltenden Steuern (MwSt., Sales Tax), die von FastSpring anhand Ihrer Rechnungsadresse und lokalen Vorschriften ermittelt werden.

Preisänderungen vorbehalten. Für Ihren Kauf gilt der zum Zeitpunkt des Bestellabschlusses angezeigte Preis.

Underbridge Pro 2-Lizenzen umfassen kostenlose Updates innerhalb derselben Hauptversion (z. B. 2.x). Upgrades auf zukünftige Hauptversionen (z. B. 3.x) können einen separaten Kauf zu einem ermäßigten Upgrade-Preis erfordern.

5. Zahlung und Lieferung

Die Zahlung erfolgt ausschließlich über FastSpring mit den im Checkout verfügbaren Zahlungsmethoden (Kreditkarte, PayPal und weitere regionale Optionen).

Nach erfolgreicher Zahlung erhalten Sie:

Eine Auftragsbestätigung per E-Mail von FastSpring
Einen Lizenzschlüssel (für Underbridge Pro 2)
Zugang zum Download der Software

Die Lieferung erfolgt digital zum Download über unsere Website oder dafür vorgesehene Vertriebsplattformen. Es wird keine physische Ware versendet.

Wenn Sie Ihren Lizenzschlüssel oder Download-Zugang nicht innerhalb von 24 Stunden nach dem Kauf erhalten, kontaktieren Sie uns bitte unter info@raise-uav.com unter Angabe Ihrer Auftragsbestätigung.

6. Softwarelizenz

Die Nutzung unserer Software unterliegt der Endbenutzer-Lizenzvereinbarung (EULA), die Bestandteil dieses Vertrags ist.

Mit dem Kauf von Underbridge Pro 2 erhalten Sie eine nicht-exklusive, nicht-übertragbare Lizenz zur Nutzung der Software gemäß der EULA.

Underbridge Light wird unter der GNU General Public License v3 (GPL v3) vertrieben. Die Bedingungen der GPL v3 gelten ausschließlich für dieses Produkt und sind abrufbar unter gnu.org/licenses/gpl-3.0.html.

7. Widerrufsrecht

7.1 Widerrufsbelehrung

Sie haben das Recht, binnen vierzehn Tagen ohne Angabe von Gründen diesen Vertrag zu widerrufen. Die Widerrufsfrist beträgt vierzehn Tage ab dem Tag, an dem der Vertrag geschlossen wurde.

mittels einer eindeutigen Erklärung (z. B. ein mit der Post versandter Brief oder eine E-Mail) über Ihren Entschluss, diesen Vertrag zu widerrufen, informieren. Sie können dafür das Muster-Widerrufsformular aus Abschnitt 7.4 verwenden, das jedoch nicht vorgeschrieben ist.

Zur Wahrung der Widerrufsfrist reicht es aus, dass Sie die Mitteilung über die Ausübung des Widerrufsrechts vor Ablauf der Widerrufsfrist absenden.

7.2 Vorzeitige Zustimmung zur digitalen Lieferung

Mit dem Kauf und dem sofortigen Download unserer Software stimmen Sie ausdrücklich der Ausführung des Vertrags vor Ablauf der Widerrufsfrist zu. Sie sind sich bewusst, dass diese Zustimmung zum Verlust Ihres Widerrufsrechts führt, sobald der Download begonnen hat, gemäß Art. 49 Abs. 1 lit. l der EU-Richtlinie 2011/83/EU und § 356 Abs. 1 BGB.

Unabhängig davon gewähren wir eine voluntäre 30-Tage-Geld-zurück-Garantie gemäß Abschnitt 8.

7.3 Folgen des Widerrufs

Wenn Sie diesen Vertrag wirksam widerrufen, erstatten wir Ihnen alle eingegangenen Zahlungen einschließlich der Lieferkosten (mit Ausnahme der zusätzlichen Kosten, die sich daraus ergeben, dass Sie eine andere Art der Lieferung als die von uns angebotene, günstigste Standardlieferung gewählt haben) unverzüglich und spätestens binnen vierzehn Tagen ab dem Zeitpunkt, an dem die Mitteilung über Ihren Widerruf bei uns eingegangen ist.

Die Rückerstattung erfolgt über FastSpring mit demselben Zahlungsmittel, das Sie bei der ursprünglichen Transaktion verwendet haben.

8. Freiwillige 30-Tage-Geld-zurück-Garantie

Zusätzlich zu Ihren gesetzlichen Rechten gewähren wir eine voluntäre 30-Tage-Geld-zurück-Garantie für Underbridge Pro 2.

Wenn Sie mit der Software aus irgendeinem Grund nicht zufrieden sind, können Sie innerhalb von 30 Tagen ab dem ursprünglichen Kaufdatum eine vollständige Rückerstattung beantragen. Eine Begründung ist nicht erforderlich.

Um eine Rückerstattung zu beantragen, kontaktieren Sie uns unter info@raise-uav.com unter Angabe Ihrer Auftragsbestätigung oder Ihres Lizenzschlüssels. Rückerstattungen werden über FastSpring innerhalb von 14 Werktagen bearbeitet.

Diese Garantie berührt nicht Ihr gesetzliches Widerrufsrecht und besteht unabhängig davon.

9. Gewährleistung und Haftung

Die Software wird „wie besehen" bereitgestellt, ohne Gewährleistung jeglicher Art, wie in der EULA näher beschrieben.

Für Verbraucher bleiben die gesetzlichen Gewährleistungsrechte nach geltendem Recht (insbesondere §§ 434 ff. BGB in Deutschland) unberührt. Die gesetzliche Verjährungsfrist für Gewährleistungsansprüche beträgt zwei Jahre ab Lieferung.

Für Unternehmer sind Gewährleistungsansprüche ausgeschlossen. Dieser Ausschluss gilt nicht bei Vorsatz, grober Fahrlässigkeit oder Verletzung von Leben, Körper oder Gesundheit.

Unsere Haftung ist wie in der EULA beschrieben beschränkt. Die Haftung für einfache Fahrlässigkeit ist ausgeschlossen, soweit gesetzlich zulässig, außer bei Verletzung wesentlicher Vertragspflichten (Kardinalpflichten). In diesem Fall ist die Haftung auf den vorhersehbaren, typischen Schaden beschränkt.

10. Geistiges Eigentum

Alle Rechte des geistigen Eigentums an der Software, einschließlich Quellcode, Design, Marken und Dokumentation, verbleiben ausschließlich beim Anbieter oder seinen Lizenzgebern.

Dieser Vertrag gewährt Ihnen eine Lizenz zur Nutzung der Software; er überträgt keine Eigentumsrechte an geistigem Eigentum.

11. Streitbeilegung

Die Europäische Kommission stellt eine Plattform zur Online-Streitbeilegung (OS) bereit: https://ec.europa.eu/odr. Wir sind bereit, an einem alternativen Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle teilzunehmen.

Wir sind seit dem 28.08.2017 Mitglied der Initiative „FairCommerce". Weitere Informationen: fair-commerce.de

12. Anwendbares Recht und Gerichtsstand

Diese AGB unterliegen dem Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts (CISG).

Für Kaufleute, juristische Personen des öffentlichen Rechts oder öffentlich-rechtliche Sondervermögen ist der Sitz des Anbieters ausschließlicher Gerichtsstand. Für Verbraucher gilt der allgemeine gesetzliche Gerichtsstand.

Für internationale Kunden bleiben zwingende Verbraucherschutzvorschriften des Landes des gewöhnlichen Aufenthalts unberührt.

13. Salvatorische Klausel

Sollte eine Bestimmung dieser AGB ganz oder teilweise unwirksam sein oder werden, bleibt die Wirksamkeit der übrigen Regelungen unberührt. Anstelle der unwirksamen Bestimmung tritt eine wirksame Regelung, die dem wirtschaftlichen Zweck der unwirksamen Bestimmung am nächsten kommt.

14. Änderungen dieser AGB

Wir vorbehalten uns das Recht, diese AGB von Zeit zu Zeit zu aktualisieren. Für Ihren Kauf gilt die zum Zeitpunkt des Vertragsschlusses aktuelle Fassung. Aktualisierte Versionen werden auf dieser Website mit einem neuen „Zuletzt aktualisiert"-Datum veröffentlicht.
